1. Offer Summary
Wentworth Global Capital Finance Pty Limited (Wentworth) is the Lead Manager to the listing of FirstWave Cloud Technology Limited (FirstWave). Moelis & Company, is a co-manager to the offer.

The offer was oversubscribed, and raised the maximum of A$8.0m, at an issue price of A$0.20 per share. Post raising the market capitalisation will be ~A$36m.

Firstwave is already a trusted and leading provider of carrier grade “cloud security” offering, to more than 350 government and enterprise customers including some of Australia’s largest financial institutions, State and Federal Government, utilities and ASX200 listed and private enterprises. Firstwave represents a proven cloud security service model within a increasing global growth opportunity via Telcos, cloud service and virtual data service providers.

Firstwave, via a contracted relationship with Telstra, offers a highly flexible multi cloud, multi-vendor solution.
Beyond Telstra, Firstwave is currently in discussions with Telcos in Asia, Europe and North America.  Firstwave was founded by participants of the original Telstra Research Labs, and these founders continue to be key employees and significant stakeholders in the Company going forward.  The founders will represent almost 40% of the expanded share register post listing.

2. Key Product – Firstwave Cloud Content Security Gateway (CCSG)
The FirstWave Cloud Content Security Gateway (CCSG) is a virtual multi-tenanted gateway that allows telcos to sell fully featured point security services to enterprise and government customers in Email (SEG), Web (SWG) or Next Generation Firewalls (NGFW) or as a fully featured integrated content security gateway with
rich control and analytics.

The CCSG is designed to be security software vendor agnostic, carrier and cloud agnostic, which provides the required flexibility for global participants to optimise each customer’s security.
3. Telstra as a Partner
FirstWave has had a longstanding contracted relationship with Telstra for the delivery of cloud based security solutions. 

In FY16, a new sales engagement model with focused programs on channel enablement specifically targeting enterprise and Government customers and medium size businesses has increased the level and quality of sales activity driving customer growth. Targeted sales programs have been developed for specific enterprise and Government sectors and the early demand for the fore-mentioned products and services reflects significant potential for FirstWave in Australia.

As of 24 March 2016, FirstWave has secured an additional total contract value this financial year of $4.7 million comprising of telco platform licence fees, customised virtual next generation firewall solutions and professional services. The blended average life of these contracts were typical of telco term contracts averaging 22 months.
4. International
Further partner and sales opportunities are being developed outside of Australia by FirstWave. FirstWave is actively engaged with a number of regional telcos and cloud service providers as part of the strategy to expand the Company’s footprint by leveraging existing relationships (and advocates) with global security vendor partners and deploying telco-grade gateways. Over the next 12 months plans include expansion into Asian, European and North American points of presence.
5. Revenue Generation

FirstWave derives long term and project revenue from licences and services:
FirstWave undertakes a number of types of projects including telco and cloud service provider product integration/roll-outs, major customer data centre to cloud transformations and product design on behalf of vendors who want to embed their security solution in the FirstWave CCSG architecture.

Once a customer is set up, long term services and licence fees are payable.
